1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client" or "You") and Ecom Horizon ("Company," "We," or "Us"). By engaging our services, You acknowledge that You have read, understood, and agree to be bound by these Terms. If You do not agree with these Terms, You should not use our services.

2. Services Description

Ecom Horizon provides e-commerce development, optimization, consulting, and marketing services as described on our website (https://ecomhorizon.com/). Specific services rendered will be detailed in a written proposal or agreement between the parties ("Service Agreement").

3. Payment Terms

Payment is due according to the schedule outlined in the Service Agreement.

Late payments may incur a late fee of 1.5% per month on the outstanding balance.

All prices are in USD unless otherwise specified.

Client is responsible for any taxes, duties, or fees associated with our services.

4. Intellectual Property

Ecom Horizon retains ownership of all intellectual property developed during the provision of services unless explicitly transferred in writing.

Client grants Ecom Horizon a non-exclusive license to use Client's trademarks, logos, and other materials necessary to perform services.

Upon completion of services, Ecom Horizon will transfer ownership of final deliverables to Client, subject to full payment.

5. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the business relationship. This obligation survives termination of these Terms.

6. Limitation of Liability

Ecom Horizon's total liability for any claim arising from these Terms shall not exceed the total fees paid by Client under the Service Agreement.

Ecom Horizon shall not be liable for any indirect, incidental, consequential, or special damages arising from these Terms or the services provided.

7. Termination

Either party may terminate these Terms with 30 days written notice.

Upon termination, Client shall pay for all services rendered up to the termination date.

Ecom Horizon reserves the right to immediately suspend services for non-payment or material breach of these Terms.

8. Dispute Resolution

Any disputes arising under these Terms shall first be resolved through good faith negotiation between the parties.

If unresolved through negotiation, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state where Ecom Horizon is incorporated, without regard to its conflict of law principles.

10. Modifications

Ecom Horizon reserves the right to modify these Terms at any time by posting the updated version on our website. Continued use of our services after such changes constitutes acceptance of the modified Terms.

11. Miscellaneous

These Terms constitute the entire agreement between the parties and supersede all prior agreements.

If any provision of these Terms is found invalid, the remaining provisions shall remain in full force and effect.

Waiver of any term or condition shall not constitute a continuing waiver.
